Gabe Clothing Ltd. Wholesale Terms & Conditions

All sales made by Gabe Clothing Ltd. ("seller") to you ("customer") are governed by the below Terms and Conditions of Sale unless otherwise indicated by Gabe Clothing Ltd. in writing.

Wholesale Account Qualification:

Gabe Clothing Ltd. is an apparel manufacturer and wholesale company of blank apparel mainly for clothing lines and decorated apparel distributors, including but not limited to, screen printers, embroiders, promotional products, direct to garment printers. Once the customer sets up an account, we may need additional information including but not limited to a copy of the resale certificate. The account approval process may take up to 2-3 business days.

Pricing

Prices are in CAN Dollars. All prices are subject to change without notice. All orders will be shipped at prices prevailing at the time the order is shipped. Any price disputes should be notified to Gabe Clothing Ltd. in writing within 30 days of the invoice date. Any disputes and claims brought after 30 days regarding price shall be deemed time-barred and waived. 

Based on demand and sale, Gabe Clothing Ltd. reserves the right to change or discontinue styles, colours, sizes, fabric, and/or change packaging, without notice. Slight variances in colour can occur from order to order.

Please contact your sales representative / Customer Service, or log in to your account for up-to-date pricing information, stock levels, restock dates on any item. Prices, product availability and delivery conditions are subject to change without notice. 

Payment Terms:

All orders must be prepaid. We accept payments through all major credit cards and wire transfers. For orders placed via email, to be paid by credit card, we require a copy of the cardholder's identification and completion of the credit card authorization form, for your own protection and security.

Orders and Shipping:

All orders received by 12:00 PM (EST) are usually shipped the same day, through Canada Post. However, shipping times may vary due to high volume of orders, and/or unforeseen circumstances and factors, outside our control. Bulk orders may require additional time.

There is no minimum order quantity. The quickest way to place and process orders are online at www.gabeclothing.ca. Customers can also email us the purchase orders at info@gabeclothing.ca

Customers will receive an order confirmation via email once they place an order online. If you did not receive an order confirmation, we did not receive the order. Please contact Gabe Clothing Ltd. if you do not receive an order confirmation. An invoice is emailed once the order is confirmed.

Any cancellations or changes, once the order is in process or packed, are subject to handling and restocking fee of 15%. 

Gabe Clothing Ltd. to both commercial and residential addresses. Gabe Clothing Ltd. will not be responsible for any shipping delays, non-delivery, damage or loss caused by the carrier, during shipping. Gabe Clothing Ltd. will not be responsible for shortages occurring when shipments are directed to a third party other than the customer. Customer is responsible for all freight charges, FOB Gabe Clothing Ltd. Warehouse. Ground freight costs provided during checkout or quotations are estimates, and subject to variations based on size, weight, dimensions, locations and other factors. Residential deliveries carry a surcharge. 

If you wish to choose a different carrier or want to use your own UPS account, please let us know by contacting us or providing instructions in the comments section, during the checkout process and/or providing clear instructions on the purchase orders. Please call and advise, if you have a specific shipping preference or have an urgent request. We will do our best to accommodate your request.

Gabe Clothing Ltd. reserves the right to refuse any order at its sole discretion.

Will Call Orders:

Local customers are welcome to coordinate pick up, by contacting us at 416-633-4223. Please check your order status online or call ahead for pick up time and order status, before arriving. Please call and advise, if you have a specific shipping preference or have an urgent request. We will do our best to accommodate your request.

Orders not picked up within 10 days of notification that the order is ready for pick up, will be cancelled and restocked with a 15% restocking fee (minimum charge is $25). It is the customer's responsibility to ensure the contact information on the account/order is up to date, so our customer representatives can get in touch with you when needed.

Gabe Clothing Ltd. ships worldwide, however, customers are responsible for all shipping, duties and taxes and are responsible for clearing customs. International orders do not qualify for Free Freight. Freight for orders placed online will be added and charged, before shipping.

Return Policy and Claims:

Complete customer satisfaction is our primary goal at Gabe Clothing Ltd. Due to the possible human error, it is the customers' responsibility to verify that the merchandise received matches what was ordered and resolve any claims with Gabe Clothing Ltd. before garments are altered. It is the customers' responsibility to inspect and test all merchandise before washing, printing, or any type of decorating. Once merchandise is altered in any way (screen printed, embroidered, relabeled, washed, dyed, embellished, etc.), the customer cannot return or make any claims/exchanges.

Products claims must be made within 5 days of receipt of goods. Goods must be returned in original condition and accompanied by a copy of the original packing list Returns will only be accepted with prior authorization. Return shipments will be refused, if not accompanied by a Return Merchandise Authorization (RMA or RA) code. Customer is responsible for all return freight charges. Samples and items on special/clearance are non-returnable. Returned goods may be subject to a 15% restocking fee.

Once your return is received and inspected by our warehouse return department, we will process your refund and automatically apply a credit to the original form of payment. Please allow 5-7 business days for processing.

Product Testing / Performance: 

Customers must inspect, and conduct their own testing on all products before purchasing or decorating in bulk. 

All of our products have care instructions. Care instructions for each product may vary so please check the neck label for accurate information.

Gabe Clothing Ltd. may make periodic updates to garment specifications. Current inventory may include a balance of garments from a previous specification. We follow and ship by FIFO practice (First In, First Out).

Garment Dye:

Garment dye products achieve its authentic look and feel through special dye and mineral wash processes, which creates unique and natural variances in texture, distress, and shade. These are intentional and are NOT considered defective. Please take care as the colours may transfer. Wash separately. Avoid contact with pale fabric & surfaces, and follow our care instructions carefully.

Product Warranty:

Gabe Clothing Ltd. does not make, and hereby disclaims, any and all warranties, express or implied, including without limitation any warranties of merchantability or fitness for a particular purpose. 

Limitation of Liability:

In no event shall Gabe Clothing Ltd. be liable to the customer for any loss of profit, interruption of business, or any special, indirect, consequential or incidental damages arising in contract (including breach of warranty), in tort (including strict liability or negligence) or otherwise, even if Gabe Clothing Ltd. has been notified OR otherwise made aware of the possibility of such damages. 

Force Majeure:

Gabe Clothing Ltd. shall not be liable for any failure or delay in delivery or in its performance under these terms and conditions or otherwise due to any cause beyond Gabe Clothing Ltd. reasonable control, including, without limitation, any act of war or civil insurrection, national emergencies, acts of God, fire, explosion, storm, earthquake, flood, embargo, riots, sabotage, industry-wide strikes, lockouts, labour difficulties, supplier failures, unavailability or shortages of materials, or governmental acts (collectively, "Force Majeure"). Where any product scheduled for delivery becomes unavailable as a result of a force majeure event, Gabe Clothing Ltd. may, at its sole discretion, substitute such product with a comparable product. 

General:

All purchases and sales of Gabe Clothing Ltd. products to customers shall be made solely on these terms and conditions. These terms and conditions shall apply in full to all such purchases and sales. All terms and conditions contained in any purchase order or similar order form from customer are hereby rejected by Gabe Clothing Ltd. in all respects. Any modification, supplement, or amendment of these terms and conditions shall be made in writing by Gabe Clothing Ltd. authorized management representative only. Any term or provision of these terms and conditions that is invalid or unenforceable in any situation shall not affect the validity or enforceability of the offending term or condition in any other situation. Acceptance of these terms and conditions shall be confirmed by electronic signature, or acceptance when registering an account on the Gabe Clothing Ltd. website. These terms and conditions and Gabe Clothing Ltd. invoice contain the entire agreement between Gabe Clothing Ltd. and the customer and supersede all previous contracts or agreements between Gabe Clothing Ltd. and customer. Customer agrees Gabe Clothing Ltd. is not bound by any representation, promise, condition, inducement or warranty, express or implied, not included above.
